Terms of Service
Infinite Liberty AI Business Solutions. Please read these Terms carefully before accessing or using our platform. By activating your account, you agree to be bound by these Terms in their entirety.
1. Parties & Agreement
These Terms of Service ("Agreement") constitute a legally binding contract between Infinite Liberty AI Business Solutions ("Company," "we," "us," or "our"), a business located at 447 Sutter St Ste 405 PMB 1085, San Francisco, CA 94108, and you, the individual or entity accessing or using our platform and services ("Client," "you," or "your").
This Agreement governs your access to and use of our white-label CRM and marketing automation platform, AI business architecture services, custom AI agents (including our AI assistant "Luna"), backend process automation, and all associated tools, software, content, features, and support services (collectively, the "Services").
2. Definitions
"Platform" means the web-based software-as-a-service (SaaS) solution provided by the Company, powered by and integrated with third-party infrastructure.
"Sub-Account" means the individual workspace provisioned for each Client within the Platform.
"User" means any individual authorized by Client to access the Platform under Client's account.
"Content" means any data, text, files, information, usernames, images, graphics, scripts, or other materials uploaded, submitted, or transmitted through the Platform.
"AI Agents" means the Company's custom artificial-intelligence assistants, including the voice and chat agent known as "Luna," configured for Client's business.
"Third-Party Services" means external applications, integrations, or platforms connected to or accessible through the Services.
3. Services Provided
3.1 Engagement as Independent Contractor. The Company is engaged as an independent contractor — not an employee, agent, partner, or joint venturer of Client. The Company designs custom AI business solutions, backend process architecture, and automations for lead generation, capture, follow-up, and booking, configured around how Client's business actually generates revenue. Nothing in this Agreement creates an employment or agency relationship.
3.2 Platform Access. The Company grants Client a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the subscription term solely for Client's internal business operations.
3.3 Build Timeline & Delays. Custom builds are typically delivered 2–8 weeks from onboarding, depending on project scope, complexity, and Client responsiveness in providing required assets and approvals. The Company provides an estimated completion date upon request but does not guarantee it. The Company is not responsible for delays caused by Client, including late delivery of content or materials; if Client delays exceed three (3) weeks, a $200/week delay fee may apply. The Company manages projects transparently in its CRM, to which Client has access.

3.5 Service Modifications. The Company reserves the right to modify, suspend, discontinue, or update any aspect of the Services at any time with reasonable notice to Client.
4. Account Registration & Responsibilities
4.1 Account Setup. Client must provide accurate, complete, and current information during account setup and keep such information updated throughout the term.
4.2 Account Security. Client is solely responsible for: (a) maintaining the confidentiality of login credentials; (b) all activities that occur under Client's account; and (c) promptly notifying the Company of any unauthorized access or security breach.
4.3 Authorized Users. Client may authorize Users to access the Platform. Client accepts full responsibility for all acts and omissions of its Users. The Company is not liable for any loss resulting from unauthorized use of Client's account.
4.4 Account Eligibility. By accepting this Agreement, Client represents that: (a) Client is at least 18 years of age; (b) Client has the legal authority to enter this Agreement; and (c) Client's use of the Services will comply with all applicable laws.
5. Fees, Billing & Payment
5.1 Subscription & Setup Fees. Client agrees to pay all fees associated with their selected plan as set forth in the applicable Order Form, proposal, or checkout page. Setup fees for custom AI agent builds range from $1,500 to $15,000+ one-time depending on complexity and scope. The Enterprise Super AI Agent plan is billed at $497 to $997 per month. All fees are stated in U.S. Dollars unless otherwise specified.
5.2 Down Payment & Project Start. A down payment is required to reserve the Company's engineering capacity and initiate the project. The Company will not begin design or build work until the required down payment has been received in full. The down payment amount and selected payment option are documented in the Order Form.
5.3 Payment Options. Client may select from the following payment arrangements for the setup fee, subject to the total cost of the engagement and the Company's approval: (a) Standard 50/50 (default) — fifty percent (50%) of the setup fee secures the build slot and is due before work begins, with the remaining fifty percent (50%) due upon delivery and after Client approval; or (b) Three-Month Installment Plan — for larger engagements, the setup fee may be split into three (3) equal monthly installments, with the first installment serving as the down payment that starts the project, billed monthly on the same calendar date, with the full setup fee due before final delivery.
5.4 Monthly Subscription Activation. Recurring monthly subscription billing — the $497–$997/month Super Agent plan and any selected AI Employee subscription tier — activates on the date the first payment of the setup fee is processed and continues monthly thereafter on the same calendar date. For example, if the first payment is processed on October 10, 2026, the next monthly charge processes on November 10, 2026, and continues on that date each month until cancelled per Section 11.
5.5 Pass-Through Platform & Infrastructure Fee. The Services are built on a third-party all-in-one CRM and automation platform. A platform fee (approximately $197/month) covers website hosting, ongoing platform updates, security, and the underlying automation infrastructure, billed separately from the Company's service fees. The Company is not responsible for changes to third-party platform pricing.
5.6 Additional Fees & One-Time Costs. The following additional costs may apply: a WhatsApp Business Number ($11 one-time) to enable WhatsApp messaging and AI chat; a Business Phone Number purchased at the carrier's prevailing rate if Client requires one; a Domain Name (typically $15–$30/year) purchased on Client's behalf if Client does not own one; a one-time A2P / 10DLC carrier registration fee (typically less than $25); and a usage wallet (approximately $30/month credit, then pay-per-use) covering metered email, AI overage, and phone usage beyond included allowances.
5.6a AI Knowledge Base — Included or Billed Separately. The initial design, configuration, and training of the Client's AI knowledge base — including Luna's voice, scripts, conversation flows, business-specific responses, and prompt tuning — may be either (a) included in the agreed setup fee for the initial build at no additional charge, or (b) billed as a separate Knowledge Base Fee as quoted in the Order Form, at the Company's discretion based on the scope and complexity of the required training. Where a Knowledge Base Fee applies, it is due on the same terms as the setup fee and is non-refundable once knowledge-base training has begun. Ongoing knowledge-base updates, content additions, prompt adjustments, and re-training beyond the initial build are billed as added scope per Section 5.15. The Company determines at quoting whether the knowledge base is included or billed separately, and the applicable option is documented in the Order Form.
5.7 AI Employee Subscription Tiers. AI Employee subscriptions cover the AI logic and processing engine (Conversation AI, Voice AI, Reviews AI, Content AI) and are offered in three structures: the $50/month Growth Tier (1,000 Conversation AI responses, 100 Voice AI minutes, and included Reviews AI, Content AI, and Ask AI / AI Studio allowances, with overages billed per-use); the $99/month Unlimited Tier ($97/month standard, uncapped under standard Fair Use, with Agent Studio custom workflows, advanced token executions, and fair-use excess billed per-use); and a Pay-Per-Use Tier (no recurring subscription; all AI usage billed per action, token, or minute). The selected tier is documented in the Order Form.
5.8 Telephony, Carrier & Communication Pass-Through Costs. AI Employee subscriptions cover only the AI logic and processing engine. All telecommunication connectivity — phone line rentals, inbound/outbound call per-minute carrier rates, agency per-minute call markups (for example, $0.75/minute over the carrier rate), SMS/MMS messaging segments, carrier lookup fees, and A2P/DLC registration fees — is billed separately as pass-through expense based on actual usage and is in addition to any AI subscription fee. No AI tier, including Unlimited, includes telephony or carrier per-minute charges.
5.9 Re-Billing Authorization & Automatic Overages. Client authorizes the Company to automatically charge the payment method on file for: (a) recurring monthly base subscription fees (the Super Agent plan and selected AI Employee tier); (b) pay-per-use overage surcharges once included monthly tier allowances are exceeded; (c) variable telephony re-billing (per-minute call, SMS/MMS, carrier lookup, and A2P charges) as incurred or when wallet re-billing thresholds are triggered; and (d) the platform fee and usage wallet replenishment. Client must maintain a valid card on file at all times.
5.10 Schedule of Fees & Usage Markups (Schedule A). Variable Markups & Dynamic Pricing — all itemized usage fees, per-minute call rates, text messaging (SMS/MMS) markups, AI feature overages, and software add-on pricing are defined by the Company's live Reselling Settings and listed in the attached Schedule of Fees (Schedule A). This Agreement includes all active reselling services, features, and their associated usage markups (including phone, AI, and software add-ons) as configured in the Company's Reselling Settings. Modifying Rates Without Re-Signing — Client agrees that specific usage markups and recurring add-on rates listed in Schedule A or configured within the Company's Reselling Settings may be updated periodically. Continued use of the platform and Services following written notice or an updated Schedule A disclosure constitutes acceptance of the adjusted rates, without requiring a complete re-execution or amendment of this Master Agreement.
5.11 Billing Cycle & Automatic Renewal. Recurring (monthly) fees are billed beginning on the date of activation and automatically renew at the end of each billing cycle unless Client provides written cancellation notice at least 7 business days before the renewal date. Subscription fees are non-refundable except as expressly stated herein.
5.12 Price Changes. The Company may adjust pricing upon 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
5.13 Late Payments. Payments overdue by 15 days incur a $100 late fee; after 30 days, a $300 late fee applies; accounts overdue by 60 days may result in legal action. Unpaid invoices may also result in suspension of access to the Platform and AI Agents and termination of the account per Section 11. Client must keep payment information current at all times.
5.14 Taxes. Client is responsible for all applicable taxes, levies, or duties imposed by taxing authorities. The Company will collect taxes where required by law.
5.15 Added Scope. Any work outside the agreed scope — new automations, additional pages, integrations, or features requested after the build is approved — is subject to a separately quoted service fee. The Company will confirm scope and price in writing before beginning added work.
6. Acceptable Use Policy
6.1 Permitted Use. Client agrees to use the Services only for lawful business purposes in accordance with this Agreement and all applicable laws and regulations.
6.2 Prohibited Activities. Client shall NOT use the Platform to:

- Transmit unlawful, defamatory, obscene, fraudulent, or threatening content
- Infringe upon any third-party intellectual property, privacy, or proprietary rights

- Sell, resell, sublicense, or transfer access to the Platform without written consent
- Use the Platform to conduct illegal activities
- Harvest or collect data about other users without their consent
- Circumvent any security or access controls
- Use automated bots or scrapers on the Platform
6.3 Compliance with Messaging Laws. Client is solely responsible for ensuring all SMS, email, and AI voice communications comply with applicable laws, including obtaining required opt-in consent from recipients before sending marketing messages or initiating AI-assisted calls.
6.4 A2P 10DLC Compliance. For SMS use, Client must complete A2P brand and campaign registration as required by U.S. carriers. The Company will assist with submission, but Client is responsible for the accuracy of submitted business information.
6.5 AI Voice & Call Consent. Where Luna or any AI Agent places or answers calls on Client's behalf, Client is responsible for ensuring it holds the necessary prior express consent and complies with the Telephone Consumer Protection Act (TCPA), state call-recording laws, and all applicable telemarketing rules. Client authorizes the Company's AI Agents to contact the phone number(s) Client provides, and represents that Client has obtained consent from its own contacts for such outreach.
7. Intellectual Property
7.1 Company IP. The Platform, AI Agents (including Luna), custom architectures, prompts, scripts, workflows, designs, and underlying technology are and remain the exclusive property of the Company and/or its licensors. This Agreement does not grant Client any ownership rights in the Platform or the Company's proprietary methods.
7.2 Client Content. Client retains full ownership of all Content it uploads or creates within the Platform. Client grants the Company a limited, non-exclusive license to host, display, and process Client Content solely as necessary to provide the Services.
7.3 White-Label License. Where the Enterprise plan includes a white-label client portal and custom domain, Client receives a limited license to brand the portal for Client's own end-clients. Client may not represent the underlying platform as its own proprietary technology or resell raw platform access outside the scope of the Services.
7.4 Proprietary Materials. All worksheets, templates, frameworks, and proprietary materials provided by the Company are for Client's internal business use only and may not be resold, redistributed, or transferred without the Company's written permission.
7.5 Feedback. Any suggestions, ideas, or feedback Client provides regarding the Services may be used by the Company without restriction or compensation.

8.3 Data Security. The Company employs industry-standard security measures to protect data. However, no system is entirely secure. Client is encouraged to implement additional safeguards appropriate to its business.
8.4 Data Backup. While the Company maintains reasonable backup procedures, Client is responsible for maintaining its own backups of critical business data.
8.5 Data Portability. Upon cancellation, Client may export its contact data and records from the Platform within 30 days of termination. After this window, the Company may permanently delete Client data.
8.6 Privacy Policy. The Company's Privacy Policy, incorporated herein by reference, governs the collection and use of personal data related to Platform access and use.
8a. Loss, Damage & Backups
8a.1 No Liability for Data Loss. The Company is not liable for loss or corruption of files, data, or content on any server, platform, or shared folder used in connection with the Services.
8a.2 Client Backups. Client is solely responsible for maintaining its own backups of critical business data. Restoration, recovery, or troubleshooting of lost data may incur additional fees.
8b. Website & Platform Security
8b.1 Security Responsibility. Security management of the Platform, website, and any connected e-commerce or payment systems — including monitoring, patching, and access control — is the shared responsibility of Client and the Company during the subscription term. The Company manages security for the Platform infrastructure it directly controls. Client is responsible for securing its own credentials, integrations, and any third-party connected services.
9. Support Services
9.1 Support Channels. The Company provides support via: Email (support@infinitelibertyaisolutions.com), the support ticket portal, and the onboarding video library.

9.3 Scope of Support. Included support covers: platform access and login issues; bug reports and technical malfunctions; guidance on using standard Platform features; and account configuration questions.

10. Third-Party Services & Integrations
10.1 Third-Party Dependencies. The Platform integrates with third-party services including, but not limited to, telephony providers, email delivery networks, payment processors, social media platforms, and the underlying CRM infrastructure provider. These services are governed by their own terms and policies.
10.2 No Liability for Third Parties. The Company is not responsible for the availability, performance, or policies of third-party services. Any disruption caused by a third-party provider does not constitute a breach of this Agreement by the Company.
10.3 Client Responsibility. Client is responsible for reviewing and complying with the terms of any third-party services connected to the Platform.
11. Term & Termination
11.1 Term. This Agreement begins on the date of account activation and continues until terminated in accordance with this Section.

12. Disclaimers & Warranties

12.2 No Guarantee of Results. The Company makes no guarantee regarding specific business outcomes, revenue generation, lead volume, appointment volume, website traffic, sales conversions, search engine rankings, or marketing results from use of the Services or the AI Agents. Performance results depend on factors outside the Company's control.
12.3 AI Tools & Outputs. The Company may use artificial intelligence tools and AI-assisted workflows ("AI Tools") to support delivery of the Services. AI Agents may occasionally produce inaccurate, incomplete, or unexpected outputs. Client is responsible for reviewing and approving all AI-assisted deliverables and for how any AI-assisted content is used, published, or represented. The Company is not liable for Client's or any third party's misuse of AI-assisted outputs, for any misrepresentation, false claims, or improper disclosures made using AI-assisted content, or for the accuracy, completeness, non-infringement, or legal compliance of AI-generated content. Client is solely responsible for ensuring compliance with laws applicable to AI use (including advertising, consumer protection, and privacy laws) and for making any required disclosures regarding AI-generated or AI-assisted content.
12.4 Uptime. The Company will use commercially reasonable efforts to maintain Platform availability but does not guarantee uninterrupted, error-free service. Scheduled maintenance windows will be communicated in advance where practicable.

Evidence of coverage (Certificate of Insurance) is available upon verified enterprise request.

The Company is not responsible for changes made by Client or any third-party contractor to the Platform, website, automations, or configurations after delivery. Client is responsible for renewing domains, maintaining software subscriptions, and managing hosting accounts connected to the Services. Lapsed domains, subscriptions, or hosting may interrupt the Services and are not the Company's responsibility.
